How hard is it going to be to upgrade Access 97 to 2003?   What problems
should I expect?

Generally speaking an Access 97 file that is error free and has no
corruption will easily convert to any of the newer versions and just work.
The "problems" you should expect are things that you don't like about 2003
compared to how things worked in 97 (if you encounter any).  The actual
converson should not be an issue.
